Representative Matters
Represented Hospital Service District No. 1 of the Parish of Ouachita in the sale of the Glenwood Regional Medical Center hospital in West Monroe, Louisiana, for approximately $80,000,000 and the establishment of the Ward Five Healthcare Foundation to hold substantially all of the net proceeds of the sale.

Represented Quality Distribution, Inc. in its acquisition of 100% of the outstanding shares of stock of Boasso America Corporation, an intermodal service company providing tank container services along with associated equipment sales.

Negotiated a patent license agreement for Quality Distribution, Inc.

Represented a Louisiana governmental board in connection with the negotiation of a software license and service agreement.

Represented Advanced Metering Data Systems, L.L.C., a company providing fixed-based, wireless automatic meter reading technology and services for electric, gas and water utilities, in connection with technology licensing and service agreements.

Represented Gerhardt Holding Company and its operating subsidiaries, together a leading provider of services and components for industrial engines and turbines, in a sale of substantially all of their assets to CISERV USA, Inc., a subsidiary of Wärtsilä Corporation.

Represented the seller of substantially all of the assets of a Mississippi fixed base operator, whose operation included the provision of aircraft hangar facilities, fuel and oil dispensing, aircraft supplies, and other traditional FBO services.

Represented a regional health services company in a corporate reorganization, stock repurchase, and debt restructuring.

Represented a continuing care retirement community in connection with its restructuring and the formation of a management company.

Represented underwriters in connection with the issuance of bonds by another continuing care retirement community.

Served as counsel to the U.S. subsidiary of a Japanese multinational in its acquisition of substantially all the assets of a privately held Louisiana distribution company.

Represented the holder of a majority of the outstanding voting stock of publicly-traded oil & gas service company in privately negotiated sale of stock.

Represented a gas distribution company in its acquisition of 100% of the outstanding stock of a privately held gas distribution company.

Represented numerous health care providers in both acquisitions and sales of businesses, including hospitals, nursing homes, and home health agencies.

Education
Mr. Landry graduated from Harvard Law School, magna cum laude, in 1987. He also received a master's degree in International Relations in 1987 from the Fletcher School of Law and Diplomacy. Mr. Landry was an Associate Editor of the Harvard International Law Journal, 1985-86. He graduated summa cum laude in 1983 from the University of Notre Dame, where his honors included Phi Beta Kappa.

Professional and Civic Activities
Mr. Landry served as law clerk to the Honorable Morey L. Sear, U.S. District Court, 1987-88. He taught a course on negotiation at Tufts University's Experimental College in 1986. He served for several years as an assistant bar examiner for the Corporate section of the Louisiana state bar examination, and he is a member of the American and Louisiana State Bar Associations.
