Mr. Whittaker joined Stone Pigman in 1984 and is a member of the firm. He currently chairs the firm's Business section. In his business practice he represents clients in a wide variety of transactions, including buying, selling and merging companies; private placements of securities and venture capital transactions; joint ventures; roll-ups, spin-offs and split-ups; and all phases of real estate acquisitions, development and financing. Mr. Whittaker was admitted to the Louisiana bar in 1984.

Representative Matters
Represented a major Louisiana supermarket company in connection with its joint acquisition of a chain of over 100 supermarkets and related facilities located in the states of Louisiana, Alabama, Mississippi, Missouri and Illinois.

Represented a major Louisiana health care provider in connection with the split-up of Louisiana's first statewide health maintenance organization, which then had over 100,000 members.

Represented a major shareholder in connection with the sale of an international restaurant chain, with owned and franchised locations in 28 states and foreign countries.

Represented a global commodity trading company in connection with its acquisition of the second largest green coffee trading business in the world, with a presence in more than 20 countries.

Represented a Louisiana based oil field services company with operations in the Gulf of Mexico, West Africa, Sakhalin Islands and Brazil, in connection with its sale to a Fortune 100 company, including an ancillary divestiture of the client's Nigerian subsidiary.

Education
Mr. Whittaker graduated magna cum laude from the Tulane University School of Law in 1984. He was named to the Order of the Coif and served on the Tulane Law Review Board of Editors, 1982-84. He received his undergraduate degree, cum laude, from Tulane University in 1982.

Professional and Civic Activities
Mr. Whittaker is an active member of the Committee on Mergers and Acquisitions of the American Bar Association, where he serves as Chairman of the Subcommittee on M&A Jurisprudence, and as a member of the Editorial Committee for the ABA publication, Model Stock Purchase Agreement With Commentary. He is also a member of the Louisiana State Bar Association Section on Corporate and Business Law, and served as chairman of the governing council of the Section in 1991-92. Mr. Whittaker is also Chairman of the Louisiana Supreme Court Committee on Bar Admissions, a committee on which he has served in various capacities since 1991 (including over 10 years as Examiner on the subject of Business Entities and Negotiable Instruments). In January 2008, Mr. Whittaker was appointed to the Board of Directors of the Association for Corporate Growth (ACG), Louisiana Affiliate. Mr. Whittaker has been named to The Best Lawyers in America in the fields of Corporate Law, Mergers and Acquisitions, Securities Law and Real Estate. He has also been named to Chambers U.S.A. in the field of Corporate Law/Mergers and Acquisitions.

Mr. Whittaker is a frequent author and lecturer in the area of business mergers and acquisitions. Some of his articles and speaking engagements include:

Speaker, American Bar Association Section on Business Law Spring Meeting (Dallas, April 12, 2008), on the significance of the Tennessee Chancery Court's December 2007 ruling in Genesco, Inc. v. The Finish Line, Inc.

Co-Author, Annual Survey of Judicial Developments Pertaining to Mergers and Acquisitions, The Business Lawyer (February 2008). Mr. Whittaker has co-authored this annual survey since its inception in 2001.
