Stone Pigman Co-Sponsors From Work to Wealth Workshops

Scott T. Whittaker, chair of Stone Pigman's Business Section, is a co-founder of "From Work to Wealth," a professional alliance that has as its goal the education of business owners about the sale of their business. Mr. Whittaker, and other professionals with From Work to Wealth, will present an evening series of weekly educational workshops for business owners, starting April 13, 2005.

Whittaker states, "The sale of their company is usually the most important event in the financial life of a business owner. Understanding the sale process and the critical business, financial and legal issues involved allows the business owner to plan in advance, which is important to help insure a successful sale at a top-dollar price and without needless legal exposure. SESSION 1 APRIL 13, 2005 7:00, 8:30 P.M. THE EXIT STRATEGY:  WHAT IS IT AND WHY SHOULD EVERY BUSINESS OWNER HAVE ONE?

This workshop will cover the definition and different components of an exit strategy; why every business owner/CEO has an exit strategy, whether by design or default; different types of exit strategies available in different private company entity and ownership structures; business, economic and legal consequences of different exit strategies; and how to formulate the right exit strategy for your business.

SESSION 2 APRIL 20, 2005 7:00, 8:30 P.M. VALUING A PRIVATELY OWNED BUSINESS

This workshop will cover various valuation methodologies; types of formal valuations and their various uses; use of formal valuations in the sale process; rule of thumb methods used by buyers and their lenders to value businesses in various industries; and the difference between valuation and sale price.

SESSION 3 APRIL 27, 2005 7:00, 8:30 P.M. PREPARING A PRIVATELY OWNED BUSINESS FOR SALE

This workshop will cover the aspects of the business that should be considered and addressed if need be, before the sale process is commenced, including operations; physical plant; financial; employees; insurance; and legal.

SESSION 4 MAY 4, 2005 7:00, 8:30 P.M. THE SALE PROCESS

This workshop will cover the process that should be undertaken to achieve a successful sale that yields the highest net value to the selling business owner, including assembling an advisory team; ensuring confidentiality; locating qualified potential buyers; coordinating due diligence; identifying and negotiating the best transaction structure from a business, tax and legal perspective; valuing non-cash consideration; and closing and transition issues.
